Terms of Service

This page reflects the current HostDudes service agreement for hosted node services.
Introduction
This Service Agreement ("Agreement") governs managed node hosting and related support provided by HostDudes LLC ("HostDudes") to each person or organization that requests, uses, or pays for the Services ("Client").
By submitting a new hosting request after receiving notice of this Agreement, or by paying an invoice that links to this Agreement and states that payment signifies acceptance, the Client agrees to be bound by the then-current Agreement. In this Agreement, "notice of this Agreement" means a link to this page shown with the hosting request or on the invoice, together with a statement that proceeding or paying signifies acceptance.
Eligibility and Authority
An individual Client must have reached the age of legal majority where they live and must have the legal capacity to enter this Agreement. A person accepting this Agreement for a company or other organization confirms that they have authority to bind that organization, which will be treated as the Client.
HostDudes operates from the United States and primarily markets the Services to a United States audience. All prices, invoices, and payments are in US dollars (USD).
Definitions
For purposes of this Agreement:
- Node Software means third-party cryptocurrency or blockchain software that supports a network or project. HostDudes does not sell or license Node Software.
- Virtual Machine or VM means a virtualized server provisioned or managed by HostDudes for a Client.
- Project Credential means a limited credential that a supported project requires to operate Node Software, such as an API key or project-specific token.
- Prohibited Wallet Credential means a seed phrase, recovery phrase, wallet-controlling private key, wallet login, or any other credential that can control or transfer a Client's digital assets.
- Services means the provisioning, hosting, management, and related support described in an invoice or other authorized written agreement.
- Service Period means the period covered by an invoice. Services are month to month unless an invoice or authorized written agreement states a different period.
- Service Data means the VM, its configuration, and related node-hosting data under HostDudes' direct control. It does not include invoices, ticket transcripts, provider logs, payment records, or other records controlled or retained by third parties.
- Third-Party Service means any project, Node Software, data center, cloud or infrastructure provider, Discord, Tickety, Xero, Stripe, PayPal, or other service not controlled by HostDudes.
Service Description
HostDudes provisions and manages VMs configured to run supported Node Software as directed by the Client. The Client must obtain any required node license, project eligibility, and Project Credentials. The scope, quantity, price, and Service Period are shown on the applicable invoice or authorized written agreement.
Client Responsibilities and Acceptable Use
The Client is responsible for:
- Providing accurate and current information, including invoicing details, node quantities, wallet receiving addresses, license status, Project Credentials, and known software or hardware requirements.
- Maintaining all rights, permissions, licenses, tokens, and project eligibility needed for the requested Node Software.
- Protecting access credentials and notifying HostDudes promptly if a credential may have been compromised.
- Monitoring the official HostDudes Discord and relevant node or project dashboards, and promptly reporting outages or unexpected behavior.
- Performing due diligence on each project and complying with applicable laws, regulations, taxes, and project requirements.
- Preserving any information or data the Client may need. HostDudes does not provide a backup or recovery service.
HostDudes does not verify project legitimacy and does not provide legal, tax, financial, fiduciary, or investment advice.
The Client must not use the Services for unlawful activity, fraud, malware, unauthorized access, network attacks, spam, infringement of another person's rights, deliberate resource abuse, interference with other clients or systems, or any activity that threatens the security or stability of the Services. HostDudes may immediately suspend or terminate Services used for prohibited activity and has no duty to monitor for every possible violation.
Credentials and Wallet Safety
HostDudes does not require Prohibited Wallet Credentials, and the Client must never provide them to HostDudes. HostDudes may request only limited information reasonably needed to provide the Services, such as Project Credentials and public wallet receiving addresses.
The Client confirms that it owns or is authorized to provide and use all software, licenses, credentials, addresses, data, and instructions it supplies. The Client authorizes HostDudes to use that material only as reasonably necessary to provide, secure, support, or terminate the Services. The Client remains responsible for any Prohibited Wallet Credential it sends despite this restriction.
Service Availability and Support
The Services are provided on an as-available basis. HostDudes does not offer a formal service level agreement, guaranteed uptime, fixed support hours, guaranteed response or resolution times, or service credits.
Support is provided primarily through the official HostDudes Discord. HostDudes operates primarily in Eastern Time and may respond more slowly during nights, weekends, holidays, high-volume periods, or other times when support is unavailable.
HostDudes may suspend or throttle Services if misuse, excessive resource consumption, security concerns, or other activity threatens a Client, HostDudes, a provider, or another customer. Planned maintenance or expected downtime will be announced when reasonably practical. Urgent maintenance or protective action may occur without advance notice.
HostDudes does not continuously monitor the internal functionality of Node Software. The Client must monitor node status and notify HostDudes when something appears wrong.
Third-Party Services and Node Software
The Services depend on Third-Party Services that HostDudes does not control. HostDudes does not guarantee their availability, security, compatibility, pricing, policies, accuracy, performance, or continued operation. Third-party outages, project decisions, software bugs, protocol changes, license changes, provider restrictions, and discontinued services may affect or prevent the Services.
The Client's use of a Third-Party Service may also be subject to that provider's own terms and privacy practices. To the maximum extent permitted by law, HostDudes is not responsible for the acts, omissions, content, software, systems, or decisions of a Third-Party Service.
No Guarantee of Uptime or Rewards
HostDudes does not guarantee uninterrupted operation, a specific amount of uptime, project eligibility, rewards, earnings, token value, or any other node benefit. HostDudes does not provide refunds, service credits, or compensation for downtime, missed rewards, lost earnings, or project losses, except where applicable law requires otherwise.
Data Security and Privacy
HostDudes uses reasonable measures appropriate to the Services to protect information under its control, but no storage, hosting, or transmission method is completely secure. HostDudes does not guarantee that unauthorized access, disclosure, alteration, loss, or destruction will never occur.
The Client remains responsible for securing its own devices, accounts, passwords, Project Credentials, and wallet information. Personal information is handled as described in the HostDudes Privacy Policy. Any HostDudes liability related to security or privacy is subject to the Limitation of Liability section to the maximum extent permitted by law.
Confidentiality
Each party will use reasonable care to protect nonpublic business, technical, security, or proprietary information clearly disclosed as confidential or that a reasonable person would understand to be confidential. A receiving party may use confidential information only for the Services and may disclose it to service providers that need it to perform the Services and are subject to appropriate confidentiality obligations.
Confidentiality does not cover information that is public through no breach, already lawfully known without a duty of confidentiality, independently developed, lawfully obtained from another source, or required to be disclosed by law. These obligations continue for two years after the Services end. Legally protected trade secrets remain protected for as long as applicable trade-secret law requires.
Backups and Service Data
HostDudes does not provide backups or guarantee recovery of a VM, configuration, Node Software, or other Service Data. The Client is solely responsible for preserving anything it needs.
When Services end, HostDudes will delete the VM and related configuration under its control and remove the Client from active customer tracking records. Deletion may be immediate and irreversible once the applicable Service Period or nonpayment window ends.
Invoices, payment records, ticket transcripts, provider logs, security records, and other business or legal records may be retained by HostDudes or Third-Party Services as described in the Privacy Policy, applicable law, and the provider's own retention practices.
Payment Terms and Taxes
Invoices are issued before the applicable Service Period and are due within three calendar days unless the invoice or an authorized written agreement states otherwise. HostDudes may, at its discretion, begin setup before receiving payment, but doing so does not waive the payment requirement.
An advance renewal invoice for existing Services is an offer for the next Service Period. The Services renew for the period shown on that invoice only when the invoice is paid, including through optional auto-pay. If the Client does not pay or respond, HostDudes may void the renewal invoice and offboard the Client under the Suspension and Termination section. A voided renewal invoice is not an unpaid balance and does not create a payment obligation for an unstarted Service Period. This renewal rule does not eliminate valid charges for setup or Services already requested and provided.
Payments are nonrefundable except where required by law or where an authorized HostDudes representative expressly agrees otherwise in writing. A valid unpaid balance remains due even if Services are suspended or terminated.
Advertised prices exclude applicable sales, use, or similar transaction taxes unless stated otherwise. HostDudes may collect taxes and payment-processing fees when legally permitted and disclosed before payment. The Client is responsible for its own taxes and for any disclosed transaction fees, but not for taxes imposed on HostDudes' net income.
Optional Auto-Pay
Invoices require manual payment unless the Client voluntarily enables auto-pay through Xero and Stripe. By enabling auto-pay, the Client authorizes the payment provider to charge the amount shown on each applicable advance invoice using the selected payment method.
HostDudes announces price changes in the official HostDudes Discord in advance. The advance invoice is sent before auto-pay is charged, and the Client may disable auto-pay or cancel before the charge is processed.
The Client may disable auto-pay through the online invoice or may ask HostDudes through Discord or support@hostdudes.com to disable it. Turning off auto-pay does not cancel the Services. The Client must separately cancel under the Cancellation section. A failed, reversed, disputed, or charged-back payment may be treated as nonpayment, subject to the Client's rights under applicable law.
Pricing and Promotions
The applicable price for an upcoming Service Period is shown on the advance invoice. HostDudes may change standard or promotional pricing for future Service Periods based on project requirements, resource use, provider pricing, operational costs, or other business considerations. A new price does not change a Service Period that has already been paid.
Public promotional pricing applies automatically to qualifying new hosting requests submitted while the promotion is active. Existing Clients must ask whether current Services are eligible and must receive written confirmation before a promotional rate applies. HostDudes is not responsible for missed discounts or retroactive adjustments when an existing Client did not request and confirm enrollment.
HostDudes may change, replace, or end a promotion for future Service Periods at any time. The Client may accept the price shown on the next invoice by paying it or may cancel instead.
Cancellation
The Client may cancel by opening a Discord ticket or emailing support@hostdudes.com. A cancellation request received before the next renewal payment is processed stops renewal billing for future Service Periods. HostDudes will disable future auto-pay charges for the canceled Services and void any unpaid advance renewal invoice for a Service Period that has not begun.
Cancellation normally takes effect at the end of the latest Service Period paid for before HostDudes received the cancellation request. The Client may request immediate shutdown, but an immediate shutdown does not create a refund. Fees for Services already provided or otherwise validly incurred remain due.
Disabling auto-pay, leaving Discord, or failing to use the Services does not by itself cancel hosting. HostDudes will not issue or process renewal invoices for canceled future Service Periods.
Suspension and Termination
Except for an unpaid advance renewal invoice governed below, HostDudes may suspend Services immediately when a valid invoice for Services already requested or provided becomes overdue. Unless HostDudes grants additional time in writing, HostDudes may terminate the Services and delete Service Data five calendar days after the due date. HostDudes may extend this window through Discord or email without waiving its right to collect any valid balance or act later.
An unpaid advance renewal invoice will not shorten a Service Period that has already been paid. If the renewal invoice remains unpaid, HostDudes may suspend or terminate the Services when the current paid Service Period ends. HostDudes will not delete Service Data for nonpayment of that renewal invoice before the later of the end of the current paid Service Period or five calendar days after the renewal invoice's due date, unless immediate action is permitted by the paragraph below.
HostDudes may suspend or terminate immediately, including deleting Service Data without waiting the period described above, for a material breach of this Agreement, unlawful activity, fraud, abuse, security or infrastructure risk, harmful resource use, a reversed or charged-back payment, a legal requirement, or another circumstance that makes continued Service unsafe or impractical. Where reasonably feasible, HostDudes will provide notice, but urgent action may occur without advance notice.
HostDudes may decline to renew or may end Services for any other reason at the end of the current paid Service Period. If a project, provider, law, security event, or technical condition makes continued Service impossible or unsafe, HostDudes may end the affected Service sooner. Termination does not remove payment obligations or any provision intended to survive.
Service and Requirement Changes
HostDudes may add or remove supported node types and may change how Services are provisioned or supported. Setup, migration, expansion, hardware, and provisioning timelines are estimates only and may change because of availability, suppliers, project requirements, or operational conditions.
The Client must promptly tell HostDudes about changes to node quantity, software, licenses, or hardware requirements. HostDudes is not responsible for discrepancies, under-provisioning, downtime, or losses caused by missing, late, or inaccurate information from the Client.
Additional resources, hardware, support, or changed project requirements may increase future pricing. Any new charge will be shown on an invoice or authorized written agreement before it applies.
Limitation of Liability
To the maximum extent permitted by law, HostDudes will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of data, profits, revenue, rewards, tokens, business, opportunity, goodwill, or reputation, regardless of the legal theory asserted and even if HostDudes was advised that such loss was possible.
To the maximum extent permitted by law, HostDudes' total aggregate liability for all claims arising out of or relating to this Agreement or the Services will not exceed the fees paid or payable by the Client for the affected Services for the one-month period immediately before the event giving rise to liability. If the affected Services are billed for a period longer than one month, the cap is the prorated fee for one month.
This section does not limit liability to the extent a limitation is prohibited by applicable law.
Indemnification
The Client will indemnify, defend, and hold harmless HostDudes, its affiliates, and their respective owners, officers, employees, contractors, and agents from third-party claims, damages, losses, liabilities, judgments, and reasonable legal costs arising from the Client's unlawful activity, breach of this Agreement, infringement of another person's rights, fraud, intentional misconduct, misuse of the Services, selected cryptocurrency project, or software, licenses, credentials, addresses, data, or instructions supplied by the Client.
This obligation does not apply to the extent a claim was caused by HostDudes' negligence or intentional misconduct. HostDudes will provide reasonable notice of a covered claim. The Client may control the defense with counsel reasonably acceptable to HostDudes, but may not settle a claim in a way that admits fault by or imposes an obligation on HostDudes without HostDudes' written consent.
Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without express, implied, statutory, or other warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, compatibility, accuracy, security, uninterrupted operation, error-free operation, or continued support for any project or Node Software.
No advice, statement, estimate, response, or information from HostDudes creates a warranty unless an authorized HostDudes representative expressly identifies it as a warranty in an authorized written agreement.
Intellectual Property
As between the parties and subject to third-party rights, HostDudes retains ownership of its website, branding, documentation, tools, internal processes, and configurations created or owned by HostDudes. The Client retains ownership of its data, credentials, licenses, public wallet addresses, and project materials.
Each party grants the other only the limited permission reasonably necessary to perform or receive the Services. No other license, ownership interest, or right is transferred by this Agreement.
Referral Programs
HostDudes does not offer a referral reward unless an active program and its current terms have been announced in writing. HostDudes may introduce, change, pause, or end a referral program for future activity at its discretion.
No referral reward is earned until HostDudes confirms it in writing and the qualifying payment is final and not reversed. HostDudes may withhold or cancel a reward because of fraud, abuse, duplicate attribution, chargebacks, ineligibility, tax or compliance concerns, or program changes.
Referrers, including anyone described as a "HostBro" or by another branded name, are independent participants and are not HostDudes employees, agents, partners, or authorized representatives. They cannot bind HostDudes or make promises on its behalf.
Changes to This Agreement
HostDudes may update this Agreement at any time. Material changes will be announced through the official HostDudes Discord before they apply to future Services. A material change becomes part of the Agreement when the Client submits a new hosting request after receiving notice of this Agreement, or pays a later invoice that carries that notice.
Nonmaterial corrections or clarifications may take effect when posted. No update retroactively changes a completed paid Service Period unless applicable law requires it or both parties expressly agree in an authorized writing. HostDudes will preserve internal records of previously published versions.
Communications and Notices
- Support, maintenance, operational notices, and Agreement announcements: the official HostDudes Discord.
- Invoices and pricing: the email address associated with the Client's invoice.
- Cancellation: a Discord ticket or email to support@hostdudes.com.
- Formal dispute notice from a Client: email to support@hostdudes.com.
- Formal dispute notice from HostDudes: the Client's current invoicing email address.
The Client must maintain a current invoicing email address and access to the official Discord while receiving Services. A Client should promptly notify HostDudes if its contact information changes.
Informal Dispute Resolution
Before filing a lawsuit, a party must send the other a written notice describing the dispute, relevant facts, requested resolution, and contact information. A Client must send notice to support@hostdudes.com. HostDudes may send notice to the Client's current invoicing email address. The parties will then make a good-faith effort to resolve the dispute for 30 calendar days.
This informal process does not prevent either party from using small-claims court where eligible, requesting genuinely urgent temporary or injunctive relief, or taking a step needed to preserve a legal claim before a filing deadline expires. If the dispute is not resolved after 30 days, either party may pursue available remedies in a court with proper jurisdiction.
Governing Law
This Agreement is governed by and construed in accordance with the laws of the state in which HostDudes is headquartered, without regard to its conflict of law principles.
Entire Agreement and Authorized Changes
This Agreement, the applicable invoice, and any authorized service-specific written agreement form the entire agreement concerning the Services and replace prior discussions or understandings about the same subject.
Only a written change clearly approved by an authorized HostDudes representative may modify this Agreement. A service-specific invoice or written agreement controls only for that specific Service and only where it directly conflicts with this Agreement. An informal statement does not create a warranty or modify this Agreement unless it clearly states that purpose and is approved by an authorized HostDudes representative.
Assignment
HostDudes may assign or transfer this Agreement, in whole or in part, to an affiliate, successor, buyer, or service operator as part of a sale, reorganization, financing, merger, or operational transition. The Client may not assign or transfer this Agreement without HostDudes' prior written approval.
Relationship of the Parties
The parties are independent contractors. This Agreement does not create a partnership, joint venture, agency, employment relationship, franchise, fiduciary duty, or investment-adviser relationship. Neither party may bind the other except through an authorized written agreement.
Force Majeure
HostDudes is not responsible for a failure or delay caused by events beyond its reasonable control, including internet, cloud, utility, or data-center outages; cyberattacks; project or blockchain network failures; provider actions; hardware or supply shortages; labor disputes; war; terrorism; civil disorder; government, legal, or regulatory action; natural disasters; severe weather; fire; epidemic; or similar events.
HostDudes' affected obligations are excused for the duration and reasonable recovery period of the event. Payment obligations for Services already provided or valid charges already incurred are not excused.
Severability and No Waiver
If a provision of this Agreement is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.
A failure or delay in enforcing a provision does not waive the right to enforce that provision or another provision later.
Survival
Payment obligations, liability limitations, warranty disclaimers, indemnification, confidentiality, ownership, governing law, the informal dispute-resolution requirement, and any other provision that by its nature should continue will survive suspension, cancellation, or termination.
Acknowledgment
By submitting a new hosting request after receiving notice of this Agreement, or by paying an invoice that links to this Agreement and states that payment signifies acceptance, the Client confirms that it has read, understood, and agrees to be bound by this Agreement.
