Terms of Service

Introduction

HostDudes provides hosting services for crypto-related infrastructure known as 'nodes' — virtual or physical instances that support blockchain networks.

This Service Agreement ("Agreement") is between HostDudes ("Service Provider") and the undersigned client ("Client"). By using HostDudes' services, the Client agrees to the terms and conditions set forth in this Agreement.

Definitions

For the purposes of this agreement, the following terms shall have the following meanings:

• Node(s) or Node Software: Refers to cryptocurrency blockchain software that supports its corresponding blockchain network. Clients either purchase node licenses or acquire enough tokens to be eligible to run nodes for that blockchain. Clients may host this software through HostDudes if the platform supports it. HostDudes does not provide node software or licenses directly.
• Virtual Machine: Refers to a virtualized computer run by HostDudes on behalf of the Client.
• Cryptocurrency, Coins, or Tokens: Refers to the particular rewards that clients earn from running node software and meeting uptime requirements.
• API Key or Other Like Keys: Refers to the minimal information needed for HostDudes to run the node software for a client. These requirements may change depending on the project team and are outside HostDudes' control. They may include, but are not limited to, project-specific credentials or tokens.
• Wallet: Refers to a cryptocurrency wallet controlled by the client.
• Seedphrase, Recovery Phrase, or Similar Terms: Refers to the keys that grant a client access to their cryptocurrency wallet.
• Services: Refers to the hosting, provisioning, and ongoing support of virtual machines configured to run node software, as directed by the Client.

Service Description

HostDudes facilitates the creation of virtual machines to operate nodes. The Client must provide necessary information, such as an API Key or similar credentials, for node setup and operation.

Client Responsibilities

The Client is responsible for:

• Maintaining the security of their access credentials, including API keys, passwords, and wallet addresses. HostDudes is not liable for any unauthorized access due to compromised credentials.
• Conduct due diligence on any cryptocurrency projects, coins, tokens, or software licenses supported using HostDudes' services.
• Acknowledging that HostDudes does not verify project legitimacy or provide legal, financial, or investment advice.
• Backing up all relevant cryptocurrency data. HostDudes is not responsible for data loss or corruption, including but not limited to loss of seedphrases.
• Ensure compliance with all applicable laws and regulations.
• Indemnifying and holding HostDudes harmless from any legal issues arising from noncompliance.
• Providing accurate and current information, such as wallet addresses, license status, and node software versions.

Service Level Agreement

HostDudes aims to deliver a best effort uptime, and does not guarantee uninterrupted service.

Service may be suspended or throttled if abuse, misuse, or excessive resource usage threatens stability for other clients.

HostDudes is not liable for any missed rewards, earnings, or node benefits, no matter the cause. This includes — but is not limited to — downtime caused by hardware issues, network outages, cyberattacks, bugs in node software, operating system errors, maintenance, human mistakes, misconfigurations, or disruptions from third-party services.

Any planned maintenance or expected downtime will be announced via Discord.

Clients are responsible for monitoring the official HostDudes Discord and any relevant node dashboards to ensure their nodes stay online. If a node goes offline or behaves unexpectedly, the Client must notify HostDudes immediately.

HostDudes does not guarantee or monitor the internal functionality of node software and relies on Clients to report issues. Scheduled maintenance will not be counted against uptime.

Limitation of Liability

HostDudes is not liable for indirect, incidental, special, punitive, or consequential damages. Total liability is limited to the amount paid by the Client in the one month preceding the event causing liability. HostDudes is not responsible for third-party software or hardware issues, or the Client's failure to secure access credentials. HostDudes shall not be liable for any loss of profits, loss of business, business interruption, loss of business opportunity, goodwill, or reputation.

Acts of God

HostDudes will make best efforts to restore services disrupted by Acts of God (e.g., natural disasters) but is not liable for losses resulting from such events.

Client Communication and Issue Reporting

Clients must report any machine-related issues to HostDudes in writing via Discord. HostDudes will make reasonable efforts to address reported issues within 72 hours. If this timeframe cannot be met, the client will be notified promptly. While HostDudes strives to resolve issues as quickly as possible, no specific resolution timeframe is guaranteed.

Support is provided on a best-effort and as-available basis, with no fixed support hours. HostDudes operates primarily in Eastern Standard Time (EST). Response times may be delayed during holidays, weekends, or off-peak hours, and HostDudes is not liable for delays caused by support queue times or availability constraints.

Communications outside the official HostDudes Discord may go unanswered. To ensure a timely response, Clients must use the official Discord for all support inquiries.

No Guarantee of Rewards

HostDudes does not guarantee rewards for running nodes and will not compensate for missed rewards.

Data Security and Privacy

HostDudes takes reasonable measures to protect the information provided by the Client but is not responsible for any data breaches or leaks. The Client acknowledges and accepts that any information or data provided to HostDudes is provided at the Client's own risk. HostDudes shall not be held liable for any damages resulting from unauthorized access, disclosure, alteration, or destruction of the Client's data. The Client agrees to indemnify HostDudes against any claims arising from data breaches involving the Client's data.

Payment Terms

Invoices are issued on a net-three (3-day) basis unless otherwise agreed upon in writing. Failure to pay may result in service disconnection and/or late fees of $10 or 1% of the invoice amount, whichever is greater.

HostDudes reserves the right to suspend services immediately for missed payments beyond the grace period. All payments are non-refundable unless explicitly agreed upon in writing under extraordinary circumstances.

Promo Pricing

HostDudes may, at its sole discretion, offer promotional pricing for specific node types, machine counts, or limited time campaigns. Promotional pricing is not permanent and may be modified, withdrawn, or replaced at any time. Each promotion may specify an effective period; however, HostDudes may end any promotional pricing at any time, with or without a stated timeframe, at its sole discretion. When a promotion ends, pricing will automatically revert to the applicable standard rate unless otherwise stated in writing.

Promo pricing does not exempt the Client from future price adjustments caused by increased hardware requirements, higher resource consumption, or operational cost changes. HostDudes retains the right to adjust pricing, promotional or standard, at any time based on changes in project requirements or market conditions.

From time to time, promotional pricing may be extended to existing Clients. HostDudes is under no obligation to notify existing Clients of any such promotional offers. It is the Client's responsibility to inquire about and request enrollment in any available promotions. HostDudes is not liable for any missed discounts, retroactive adjustments, or claims arising from a Client's failure to request or confirm eligibility for promotional pricing.

Clients who continue using HostDudes services after the end of a promotional period agree to the updated pricing structure automatically.

Termination

HostDudes may terminate this Agreement and services for non-compliance or non-payment. Termination does not relieve payment obligations. HostDudes may terminate services at any time with written notice. Outstanding fees become due immediately.

Early termination by the Client incurs a fee of $20 or 1.5% of the invoice value, whichever is greater.

Upon termination, HostDudes reserves the right to immediately and permanently delete virtual machines, configurations, or stored data associated with the Client's account without further notice.

Indemnification

The Client agrees to indemnify, defend, and hold harmless HostDudes, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses — including reasonable attorneys' fees — arising out of or in any way connected with the Client's use of the services. This includes any claim or demand related to the Client's use or investment in any cryptocurrency projects.

This indemnification obligation shall survive the termination of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which HostDudes is headquartered, without regard to its conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings — whether written or oral — relating to such subject matter.

Amendments

HostDudes reserves the right to amend this Agreement at any time. Any material changes will be communicated via the official HostDudes Discord server. It is the Client's responsibility to review the latest version of the Agreement prior to making any payment. By paying any invoice — regardless of the platform or method used — the Client agrees to be bound by the then-current version of this Agreement.

Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

No Waiver

Failure to enforce any provision does not waive the right to enforce it later. The failure of HostDudes to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

Written Communication

Written communications include:

• Contract Obligations: Payment/invoice notifications via email.
• Service Obligations: Node setup, troubleshooting, and maintenance notices via Discord, unless otherwise agreed in writing.

Disclaimer of Warranties

HostDudes provides services "as is" and "as available" without express or implied warranties regarding merchantability, fitness for purpose, non-infringement, uninterrupted operation, or security.

Service Understanding

HostDudes may remove or add a node service at any time. This does not reflect an investment opinion or indicate HostDudes' stance on the project's viability. While HostDudes will do its best to keep a client's nodes operational, it does not guarantee node rewards or a specific amount of daily uptime. The Client acknowledges that cryptocurrency investments are inherently risky. HostDudes does not assume any responsibility for the Client's investment decisions or the performance of any supported projects. Node software is provided and maintained by third-party project teams, and HostDudes is not responsible for any changes or issues that arise from project-side updates.

Client Notifications Regarding Node Status and Changes

The Client must notify HostDudes via Discord — unless otherwise agreed upon — if their nodes are offline or experiencing issues. The Client is responsible for monitoring their machine's status and reporting discrepancies. HostDudes will make a best effort to resolve reported issues, but cannot guarantee the functionality of the node software itself, as it is developed and maintained by third-party projects. HostDudes will strive to give at least one hour's notice to the Client for any major disruptions or scheduled maintenance that may affect node operations, where feasible. However, for high-priority tasks, HostDudes retains the right to proceed without prior notice.

Node Quantity Management

Over time, Clients may add, remove, or change the number of nodes they host with HostDudes. It is the Client's responsibility to inform HostDudes of any such changes in a reasonable timeframe. HostDudes is not responsible for tracking or managing the number of nodes a Client operates and will not be liable for any discrepancies arising from failure to provide notice.

Software and Hardware Requirement Changes

The Client must inform HostDudes via Discord of any changes to the software or hardware requirements for their node. This includes — but is not limited to — additional RAM, storage, or CPU needs. Failure to notify HostDudes of these changes places full responsibility on the Client. HostDudes will not be held liable for any lost earnings or rewards due to under-provisioned hardware or uncommunicated software changes.

HostDudes will strive to accommodate increased requirements but does not guarantee the ability to scale resources on demand. Additional hardware or support may incur service fees or increased monthly hosting costs, at HostDudes' discretion.

The Client must provide at least 30 business days' written notice via Discord for any changes to node hardware or software requirements. Shorter notice may result in HostDudes being unable to accommodate the request, and HostDudes will not be held liable for any resulting losses.

Referrals

HostDudes may offer a referral program to encourage growth. This program may pay a percentage of a person's invoice to the individual who referred them. The referral program may be updated, paused, or discontinued at HostDudes' sole discretion. Referral rewards are not guaranteed and may be revoked or withheld at any time without notice.

These individuals — sometimes referred to as "HostBros" or other branded names — do not represent HostDudes in any official capacity. HostDudes is not responsible for the actions or communications of these individuals, including misrepresentations or unauthorized claims.

Referrals may be paid in USDC or other forms of digital currency, or by any other method HostDudes deems appropriate. HostDudes reserves the right to cancel or withhold payouts due to suspected fraud, abuse, or program changes.

Arbitration to Resolve Disputes

Any disputes arising from this Agreement shall be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the state where HostDudes is headquartered. Each party shall cover its own legal costs and fees unless otherwise decided by the arbitrator.

Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or other sensitive data disclosed during the term of this Agreement — and for two years after termination. This confidentiality does not apply to publicly known information or that lawfully obtained through other means.

Force Majeure

HostDudes is not liable for failure or delay in fulfilling its obligations due to circumstances beyond its reasonable control — including, but not limited to, acts of God, war, terrorism, strikes, supply chain issues, or internet outages.

By using the services provided by HostDudes, the Client acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
